Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LightEDR platform operated by LightEDR Ltd ("LightEDR", "we", "us"). By creating an account or using the service you agree to these Terms. If you are agreeing on behalf of an organisation, you represent that you have authority to bind that organisation.

1. The service

LightEDR provides a cloud-hosted endpoint detection & response platform, including an agent for deployment on customer-managed hosts, a detection engine, and a web-based dashboard. The service is described in more detail at lightedr.com/product.

We may update the service from time to time. We will give reasonable notice of changes that materially reduce functionality.

2. Accounts & access

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@lightedr.com if you suspect unauthorised access.

Each account represents a single organisation. You may invite team members under your account subject to your plan's seat limits.

3. Authorised use

You may only deploy LightEDR agents on endpoints that you own or that you have explicit, written authorisation to monitor. Deploying agents on systems without authorisation may violate computer access laws in your jurisdiction and could constitute a criminal offence. LightEDR accepts no liability for any unauthorised deployment.

Before deploying agents in an organisational environment you must ensure that:

  • You are the owner or authorised operator of the monitored endpoints;
  • Any applicable internal policies, employment contracts, or legal requirements for endpoint monitoring in your jurisdiction have been satisfied; and
  • Appropriate notices have been provided to individuals whose activity may be monitored (see §5).

4. Acceptable use

You agree not to:

  • Use the service to monitor individuals without lawful authority;
  • Use the service to collect or store data you are not authorised to possess;
  • Attempt to access data belonging to another LightEDR tenant;
  • Reverse-engineer, decompile, or disassemble any part of the platform;
  • Resell or sublicense access to the service except under a separately agreed MSSP or partner agreement;
  • Use the service in any way that violates applicable law or regulation;
  • Probe, scan, or test the service for vulnerabilities without our prior written consent.

5. Employee monitoring

Laws governing workplace monitoring of employee-owned or company-issued devices vary significantly by jurisdiction. You are solely responsible for ensuring your use of LightEDR complies with applicable employment law, privacy law, works council requirements, and any relevant regulations in every jurisdiction where you deploy agents.

In many jurisdictions this requires, at minimum, providing employees with a clear written notice before monitoring begins. We recommend obtaining legal advice in each jurisdiction before deployment.

LightEDR provides no legal advice and makes no representations about the lawfulness of any particular deployment.

6. Subscription & payment

Paid plans are billed monthly in advance. Prices are as published at lightedr.com/pricing at the time of subscription.

All fees are exclusive of applicable taxes. You are responsible for any VAT, GST, withholding, or other taxes applicable in your jurisdiction.

If a payment fails, we will attempt to notify you and retry. Accounts unpaid for 30 days after the due date may be suspended. Data is retained for a further 30 days after suspension before permanent deletion, after which it is irreversibly purged.

Fees are non-refundable except where required by applicable law or as set out in a separate written agreement.

7. Your data

You retain all ownership of the endpoint telemetry and other data you submit to the service ("Customer Data"). You grant us a limited licence to process Customer Data solely to provide the service as described in these Terms and our Privacy Policy.

Upon account deletion we will permanently delete all Customer Data within 30 days, except where we are required to retain billing records by applicable law (see our Privacy Policy §4).

We will process personal data contained in Customer Data in accordance with our Privacy Policy and, where applicable, our Data Processing Agreement.

8. Confidentiality

Each party agrees to keep confidential the other's non-public information disclosed in connection with the service, and to use such information only for the purposes contemplated by these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Intellectual property

LightEDR and its licensors retain all intellectual property rights in the platform, detection rules, documentation, and any derived works. Nothing in these Terms transfers any IP rights to you.

You retain all IP rights in Customer Data. We acquire no rights in Customer Data except the limited licence in §7.

10. Warranty disclaimer

The service is provided "as is" and "as available" without warranty of any kind. We do not warrant that the service will detect all threats, be uninterrupted, error-free, or meet your specific security requirements. Endpoint detection and response is one layer of a security programme; it is not a guarantee against compromise.

To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by applicable law, LightEDR's total cumulative liability arising out of or relating to these Terms or the service shall not exceed the greater of:

  • the total fees paid by you in the 12 months preceding the claim; or
  • GBP £100.

In no event shall either party be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility.

Some jurisdictions do not permit the exclusion or limitation of certain damages; in such cases our liability shall be limited to the fullest extent permitted by law.

12. Indemnity

You agree to indemnify and hold harmless LightEDR and its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any law or third-party rights; or (c) any unauthorised deployment of agents.

13. Termination

You may cancel your account at any time from your dashboard. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account immediately, with written notice, if you materially breach these Terms and fail to cure the breach within 5 business days of notice, or immediately for violations of §3 (Authorised Use) or §4 (Acceptable Use).

Upon termination, your licence to use the service ends and we will delete your Customer Data in accordance with §7.

14. Export controls

The service may be subject to export control laws and regulations, including the U.S. Export Administration Regulations (EAR). You agree to comply with all applicable export laws and not to use or export the service in violation thereof. You represent that you are not located in, or a national of, a country subject to U.S. trade sanctions, and that you are not on any denied-party list.

15. Governing law & disputes

These Terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms or the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this clause prevents either party from seeking urgent injunctive relief in any jurisdiction where necessary to protect its rights.

16. Changes

We may update these Terms from time to time. We will give at least 14 days' notice of material changes by email. Your continued use of the service after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms you must stop using the service and may cancel your account.
